  • Santos FC and SDC Sports have signed a nonbinding term sheet

São Paulo, August 7th, 2026 — Santos FC and SDC Sports have signed a nonbinding term sheet for the acquisition by SDC Sports of a controlling equity interest in Santos SAF.

The terms follow five months of due diligence with Rothschild & Co., Alvarez & Marsal and BMA since the nonbinding offer of 20 February 2026, covering the Club's assets, liabilities and operations. Santos Futebol Clube is being advised by XP Investimentos, EXA Capital, and Bichara e Motta Advogados.

The brand, so the Club's global standing is reflected in its commercial and media presence. And the first team, so what happens on the pitch matches the badge.”, said Michael Lipman, Managing Partner of SDC Sports, and Diego Garcia, Co-Founder & Managing Partner of St. Dominique Capital.

SDC Sports will now present the project to the Deliberative Council. Any transaction remains subject to, among other factors, the bylaw amendments and the applicable internal approvals from the Club’s competent governance bodies, including the Deliberative Council and the General Assembly of Members, the satisfactory completion of a bilateral confirmatory due diligence, and the execution of the definitive documentation.
